Under LGTOC Art. 395, it enables a lender to achieve a contractually defined extrajudicial enforcement route that may be more efficient than judicial foreclosure. Actual timing depends on the trust terms, notices, valuation, challenges, asset type, and court involvement; no fixed completion period should be assumed. For lenders dealing with time-sensitive or complex assets, a guarantee trust can provide a more controlled enforcement framework when its terms, notices, valuation process, and asset transfers are properly documented.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Depending on the transaction and operating structure, related legal planning may also require guidance on <a href=\"https:\/\/schondube.com\/en\/financial-law\/lender-borrower-legal-advisory-mexico\/\">collateral frameworks<\/a>.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>How a guarantee trust works<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The guarantee trust under LGTOC Art. 395 is a tripartite structure:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Settlor\/borrower:<\/strong> The borrower (or a related party pledging collateral) transfers legal title to specific assets into the trust at closing. The transfer is real and irrevocable during the trust&#8217;s life\u2014the trustee holds legal title, not the borrower. However, the trust agreement typically provides that the borrower retains possession and use of the assets as long as it is not in default.<\/li>\n\n\n\n<li><strong>Trustee:<\/strong> A financial institution authorized by the CNBV to act as trustee. Trustee capacity depends on the institution&#8217;s statutory authority and applicable regulation. Counsel should verify that the selected institution may act as trustee for the proposed structure and assets. The trustee&#8217;s role is administrative: it holds title, monitors the trust, and, on certified default, executes the enforcement sale.<\/li>\n\n\n\n<li><strong>Beneficiary\/lender:<\/strong> The lender (or security agent acting for a syndicate of lenders) is the trust beneficiary. On default, the beneficiary gives notice to the trustee, who then proceeds with enforcement. The agreed procedure may permit enforcement without first obtaining a judgment, although challenges or defects can still lead to court involvement.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Assets that can be placed in a guarantee trust<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The guarantee trust can hold virtually any type of asset with a market value:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Real property:<\/strong> Land, buildings, and improvements. The most common use. The trustee holds registered title at the RPP; the borrower occupies under a use agreement within the trust. For coastal property in the restricted zone, the beneficiary rights (trust beneficiary rights) of the property trust can themselves be placed into a second-layer guarantee trust.<\/li>\n\n\n\n<li><strong>Shares and equity interests:<\/strong> Shares in a Mexican Sociedad An\u00f3nima, partnership interests, or membership interests in a Mexican entity. By default, the trustee sells the shares to a third party, or, if the trust agreement permits, the lender can acquire them directly (at appraised value to avoid unlawful enrichment concerns).<\/li>\n\n\n\n<li><strong>Intellectual property:<\/strong> Trademarks, patents, and trade names registered with the IMPI. Less liquid but valid trust assets, particularly for technology or media companies.<\/li>\n\n\n\n<li><strong>Cash accounts and financial assets:<\/strong> Designated bank accounts, fixed-income securities, or investment accounts can be held in a guarantee trust. This is the cleanest and fastest enforcement scenario\u2014the trustee simply transfers the funds on certified default.<\/li>\n\n\n\n<li><strong>Receivables and credit rights:<\/strong> Accounts receivable, future cash flows, or credit portfolios can be assigned to a guarantee trust. Used in structured finance and SOFOM portfolio lending. The receivables themselves become trust assets; the lender controls them through the trustee on default.<\/li>\n\n\n\n<li><strong>Mixed asset trusts:<\/strong> Large transactions often combine real property, shares, and receivables into a single guarantee trust. The trust agreement must describe each asset category and the enforcement protocol for each.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>The extrajudicial enforcement mechanism<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">This is the defining advantage of the guarantee trust over other security instruments. The enforcement sequence is:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li><strong>Default occurs:<\/strong> The borrower fails to pay, breaches a covenant, or triggers another event of default as defined in the credit agreement.<\/li>\n\n\n\n<li><strong>Certified default notice:<\/strong> The lender delivers a formal default notice to the trustee, typically accompanied by a formal notarial record documenting the default and the amount owed. The notarial certification is critical\u2014it is the formal trigger that allows extrajudicial action.<\/li>\n\n\n\n<li><strong>Trustee notification to borrower:<\/strong> The trustee notifies the borrower of the certified default and provides a cure period as specified in the trust agreement (typically 10 to 30 days).<\/li>\n\n\n\n<li><strong>Sale of trust assets:<\/strong> If the default is not cured, the trustee proceeds to sell the trust assets through the method specified in the trust agreement. Common mechanisms:<\/li>\n<\/ol>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Public auction through a Mexican-notary-administered process<\/li>\n\n\n\n<li>Private sale at appraised value (requires an independent appraisal)<\/li>\n\n\n\n<li>Direct acquisition by the lender (at appraised value, to avoid unjust enrichment)<\/li>\n<\/ul>\n\n\n\n<ol start=\"5\" class=\"wp-block-list\">\n<li><strong>Application of proceeds:<\/strong> The trustee applies sale proceeds: costs and expenses first, then the secured debt, and then any excess to the borrower.<\/li>\n<\/ol>\n\n\n\n<p class=\"wp-block-paragraph\">Enforcement timing depends on the asset, trust terms, notices, valuation, market conditions, and any challenge. Whether the structure is proportionate depends on transaction value, asset type, administration needs, and the expected enforcement route.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Trustee eligibility and authorization<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Not every financial institution can serve as a trustee for a guarantee trust. The CNBV authorizes specific institutions to act as trustees, and this authorization is asset-class-specific. Key points:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Mexican commercial banks and their trust divisions are almost universally authorized<\/li>\n\n\n\n<li>SOFOM ER entities affiliated with banks may be authorized for specific trust categories<\/li>\n\n\n\n<li>Foreign banks operating in Mexico through authorized subsidiaries may offer trustee services through their Mexican subsidiary&#8217;s trust division<\/li>\n\n\n\n<li>The authorization list is public and should be verified at CNBV&#8217;s website before documenting any guarantee trust<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Using an institution without the required authority can undermine the trust and the lender&#8217;s security position. Trustee eligibility should be verified and documented before signing.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Drafting tips and common mistakes<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Based on enforcement experience, the following issues arise most frequently in guarantee trust documentation:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Vague asset descriptions:<\/strong> The trust deed must describe pledged assets with legal precision. For real property: full property registry folio at the RPP, metes and bounds, area, registration number. Vague descriptions (&#8220;all of the borrower&#8217;s real property in Cancun&#8221;) create title challenges at enforcement.<\/li>\n\n\n\n<li><strong>Missing cure period specifications:<\/strong> The trust must state clearly what constitutes default, what the cure period is, and what documentation triggers the trustee&#8217;s enforcement obligation. Ambiguous default definitions lead to litigation even in extrajudicial structures.<\/li>\n\n\n\n<li><strong>No appraisal protocol:<\/strong> The trust must specify how the trust assets will be valued for purposes of enforcement sale. Absence of an agreed appraisal methodology invites borrower challenges that delay the sale.<\/li>\n\n\n\n<li><strong>Incorrect trustee authorization:<\/strong> As noted above, verify CNBV authorization before selecting a trustee.
