The challenge is enforcement: a judgment under New York law still requires recognition proceedings in Mexico if assets are located here.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Third, a hybrid: Mexican law for regulatory and real-estate-related provisions, with a foreign law choice for the commercial terms. This appears frequently in joint ventures and distribution agreements.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Mexico is a signatory to the New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards. Headquarters in Paris with well-developed procedural rules.<\/li>\n\n\n\n<li><strong>AAA\/ICDR (American Arbitration Association\u2014International Centre for Dispute Resolution):<\/strong> Preferred in US-Mexico commercial deals, particularly manufacturing and distribution.<\/li>\n\n\n\n<li><strong>UNCITRAL Rules:<\/strong> Ad hoc arbitration, often specified in government-related contracts and investment treaties.<\/li>\n\n\n\n<li><strong>CANACO (C\u00e1mara Nacional de Comercio):<\/strong> Mexico City-based institution with faster timelines and lower costs for mid-sized disputes.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">An arbitration clause should specify the institution, seat of arbitration, number of arbitrators, language of proceedings, and whether interim relief from courts is preserved. A defective arbitration clause is one of the most expensive drafting errors\u2014courts have refused to compel arbitration where clauses were ambiguous about the seat or applicable rules.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Key contract clauses<\/strong><\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Representations and warranties<\/strong> require particular attention in Mexican contracts. Sellers and service providers sometimes interpret warranty clauses narrowly based on civil law tradition. Define exactly what is warranted, for what period, and what constitutes a breach.<\/li>\n\n\n\n<li><strong>Indemnification provisions<\/strong> function differently in civil law systems. Under the C\u00f3digo Civil Federal, damages are generally limited to direct and foreseeable losses (Article 2110). Consequential damages can be excluded by contract, but the exclusion must be express and clear. The word \u201cindemnification\u201d should be defined to make clear it covers gross-up for taxes, costs of third-party claims, and enforcement expenses.<\/li>\n\n\n\n<li><strong>Liquidated damages (pena convencional)<\/strong> are recognized and enforceable under Mexican law (C\u00f3digo Civil Federal Article 1840), but Mexican courts have reduced penalty clauses they consider excessive relative to actual damages. Draft them proportionately.<\/li>\n\n\n\n<li><strong>Limitation of liability<\/strong> caps is enforceable in commercial contracts. Carve out fraud, willful misconduct, death and personal injury, and breaches of confidentiality.<\/li>\n\n\n\n<li><strong>Force majeure<\/strong> in Mexican law includes eventos de fuerza mayor and caso fortuito. Post-pandemic, parties increasingly define force majeure exhaustively rather than relying on statutory interpretation. Include government orders, supply chain disruptions, and cyber events, and specify whether force majeure excuses non-performance or merely delays it.<\/li>\n\n\n\n<li><strong>Termination rights<\/strong> should address termination for cause (breach with a cure period), termination for convenience (with notice and compensation), and automatic termination triggers (insolvency, regulatory sanction). Under Mexican law, certain service contracts create employment-like relationships\u2014make sure the termination clause does not inadvertently trigger LFT labor protections.<\/li>\n\n\n\n<li><strong>Payment terms and currency:<\/strong> USD-denominated contracts are common in Mexico and legally permissible. However, the Ley Monetaria de los Estados Unidos Mexicanos requires that obligations be payable in Mexico in the peso equivalent unless the contract specifies payment abroad. Structure cross-border payment obligations carefully.<\/li>\n\n\n\n<li><strong>IP assignment:<\/strong> Mexican law requires the assignment of intellectual property rights to be express and in writing. A general \u201cwork for hire\u201d concept does not transfer automatically as in common law systems. Each category of IP\u2014trademarks, software, inventions, and confidential information\u2014should be addressed specifically.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Common drafting failures<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Several patterns repeatedly create liability in Mexico-related contracts:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Failing to define \u201cmaterial breach\u201d means a court will apply the C\u00f3digo Civil Federal\u2019s reasonable person standard to decide what triggers termination rights.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Omitting a dispute resolution clause or including an unenforceable clause (naming a non-existent arbitral institution, for example) leaves parties in domestic courts by default.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Using boilerplate from US agreements without adapting them to Mexican regulatory requirements\u2014particularly around privacy (LFPDPPP), anti-money laundering (LFPIORPI), and labor (LFT subcontracting rules).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Relying on oral side agreements. Document communications and performance throughout the contract lifecycle.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Bilingual contracts<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Many Mexican cross-border contracts are executed in both Spanish and English. The controlling language clause matters enormously. If the Spanish version controls in case of conflict, have a Mexican attorney review the Spanish text independently\u2014word for word. Translations frequently miss legal nuances.
